Many shareholders -- mostly employees -- gather at 10 a.m. ET today for the annual company meeting at Corporate's headquarters in McLean, Va. -- typically, a highly scripted event.
On the agenda: Nine of the 11 members on the governing board of directors are up for re-election; there's no doubt they'll all make it, however. Two of the longest-tenured directors, Karen Hastie Williams and Donna Shalala, retire with this meeting, the company announced in February.
More interestingly, shareholders are voting for the first time on a non-binding advisory proposal to approve -- or not! -- the compensation of the six highest-paid executives, including CEO Craig Dubow. Stockholders also are voting on the frequency of future advisory votes to approve top executive pay packages.

Corporate sure is taking its time putting out what should be a routine statement, announcing the re-election of directors and results of the shareholder votes on executive pay.
ReplyDeleteThe meeting should have ended by 1 p.m. ET or so, and 99.999% of the votes would already have been counted before today.
Eight minutes after that comment, voila! The statement's out.
